FastMetal Terms of Service
Established October 28, 2026
This English version is provided for reference. Where it differs from the Japanese version, the Japanese version prevails (Article 31).
These Terms of Service (these "Terms") set out the conditions for using FastMetal, a service provided by PSI-Japan, KK (株式会社国際調達情報), a Japanese stock company (kabushiki kaisha) (the "Company"). You must agree to all of these Terms to register an account or use the Service. By registering an account or using the Service, you confirm that you have read and understood these Terms and agree to be bound by every one of them. If you do not agree to these Terms, you may not register an account or use the Service. Article 14.4 contains your consent to the retention of Inference Data, its use to train models and its provision to third parties outside Japan. Read it carefully.
Article 1 (Purpose and Application)
-
These Terms set out the conditions on which the Service is provided and the rights and obligations between the Company and each User in connection with its use. They apply to every relationship between the User and the Company that concerns the use of the Service.
-
These Terms are standard terms (定型約款) within the meaning of Article 548-2, paragraph 1 of the Civil Code of Japan. A User is deemed to have read and understood these Terms and to have agreed to all of them from the earlier of the moment it completes registration under Article 4 and the moment it first uses the Service.
-
The pricing page, documentation, privacy policy and other individual rules that the Company publishes on the Service (the "Individual Rules") form part of these Terms. Where these Terms and an Individual Rule differ, these Terms prevail unless the Individual Rule expressly provides otherwise.
Article 2 (Definitions)
In these Terms, the following terms have the meanings below.
(1) "Service" means the gateway service through which the Company lets users call multiple generative AI models with a single API key, provided through fastmetal.ai and fastmetal.jp (including their subdomains) and the API, MCP server, in-browser chat and other tools that accompany them (including the service as renamed or changed).
(2) "User" means an individual, corporation or other organisation that agrees to these Terms, registers under Article 4 and uses the Service.
(3) "Account" means the identifier the Company issues to each User for using the Service.
(4) "API Credentials" means the API keys, tokens, passwords and other credentials used to access the Service.
(5) "Model" means a text, image, video or other generative AI model available through the Service.
(6) "Upstream Provider" means a third party that runs a Model on its own infrastructure and provides the inference.
(7) "Model Provider" means a third party that develops a Model or sets the conditions for its use.
(8) "Model Terms" means the terms of use, usage policies, licences and other conditions set by a Model Provider or an Upstream Provider.
(9) "Input" means the prompts, text, images, files and other data a User sends to the Service.
(10) "Output" means the text, images, video and other data generated or returned through the Service on the basis of Input.
(11) "Inference Data" means Input and Output, and the data the Company relays to send them to and receive them from Upstream Providers.
(12) "Account Data" means information about the User other than Inference Data, including name, address, telephone number, email address, login information, payment information, other registration information and the usage history described in Article 14.6.
(13) "Balance" means the amount in Japanese yen that the User deposits into its Account in advance to pay for the Service.
(14) "Promotional Credits" means usage allowances the Company grants free of charge for a campaign, trial or other purpose. Promotional Credits are not part of the Balance.
(15) "Routing Settings" means the settings described in Article 6.4 by which the User narrows the Upstream Providers to which its Inference Data is sent.
Article 3 (Eligibility)
Only persons who meet all of the following may use the Service. The User represents and warrants that it meets all of them when it agrees to these Terms and throughout its use of the Service.
(1) It is at least 18 years old.
(2) The Company has not previously suspended its use or deleted its registration.
(3) Its use of the Service does not breach the laws that apply to it or any Model Terms.
(4) It is not an Anti-Social Force as defined in Article 25.
(5) Where it agrees to these Terms on behalf of a corporation or other organisation, it has authority to bind that organisation to these Terms.
Article 4 (Registration)
-
A person who wishes to use the Service applies for registration by the method the Company specifies. Registration is complete, and a service contract on these Terms is formed between the User and the Company, when the Company approves the application.
-
The User provides true, accurate and current information on registration and updates it promptly, by the method the Company specifies, whenever it changes.
-
The Company may decline to approve an application in any of the following cases and has no duty to give its reasons.
(1) The registration information contains a falsehood, error or omission.
(2) The applicant does not meet the eligibility requirements in Article 3.
(3) The Company otherwise judges registration inappropriate.
Article 5 (Management of API Credentials)
-
The User manages its Account and API Credentials on its own responsibility, and must not let any third party use them, or lend, transfer or sell them.
-
All use of the Service made with the User's Account or API Credentials, and all fees it incurs, are deemed the User's use and the User's charge, whether or not the User authorised them. This does not apply where the use results from the Company's intent or negligence.
-
When the User learns that API Credentials may have leaked or been misused, it revokes them immediately and notifies the contact point described in Article 27.2.
-
The Company may revoke API Credentials or restrict an Account where it judges this necessary to protect the Service, the User or any third party.
Article 6 (The Service)
-
Through the Service, the Company provides an environment in which the User can call Models served by Upstream Providers with a single API key and a single endpoint. The Company does not itself develop or train Models or perform inference.
-
To maintain the Service's availability and quality, the Company may choose or switch the destination of a request among several Upstream Providers that serve the same Model, within the User's Routing Settings.
-
The Company may at any time, at its discretion, add, change or stop carrying Models and Upstream Providers.
-
The Service's Upstream Providers are located in countries around the world, and they include Upstream Providers that retain Inference Data or use it to train models. For each Upstream Provider, the Company shows on the Service the country or region where it processes, whether it retains Inference Data, whether it uses it for training, and other attributes, and it provides Routing Settings by which the User can narrow the destinations of its Inference Data by those attributes. Where Routing Settings are in place, the Service selects as destinations the Upstream Providers shown as matching them. Where no Routing Settings are in place, Inference Data may be sent to an Upstream Provider located in any country or region.
-
Routing Settings are a feature of the Service that lets the User choose, at its own discretion, where its Inference Data is sent. The Company does not promise or warrant that Inference Data will be processed in any particular country or region, will not be retained, or will not be used for training. Where no Upstream Provider matches the Routing Settings, a request may not be processed.
-
The attributes described above show Users, as given, what each Upstream Provider publishes or has represented to the Company, whether by contract or otherwise. The only representation the Company makes to Users is that the Upstream Provider has stated them. The Company has no means to verify, audit or enforce how an Upstream Provider retains Inference Data, uses it for training, the country or region where it processes it, or how it otherwise handles it. The Company does not warrant that an Upstream Provider's statements are accurate, or that the Upstream Provider handles Inference Data as it states. The handling of Inference Data within an Upstream Provider is governed by that Upstream Provider's Model Terms.
-
Even where an Upstream Provider, contrary to its statements, retains Inference Data, uses it for training, or processes it in a country or region other than the one it stated, the Company is not liable for any resulting loss to the User, in accordance with Article 23, except where the loss is caused by the Company's intent or gross negligence. When the Company learns that an Upstream Provider's statements are untrue, it takes the measures it judges reasonable, such as updating the information shown on the Service or ceasing to send requests to that Upstream Provider.
-
Where an Upstream Provider changes its conditions on retaining Inference Data or using it for training, the Company, after learning of the change, will use its best efforts to switch promptly the requests of Users whose Routing Settings exclude retention or training to another Upstream Provider that matches those settings, or to an alternative Model the Company judges suitable. The Company does not warrant when the switch will happen or what it will achieve.
-
Where, in the case in the preceding paragraph, no suitable alternative matches the Routing Settings, the Company gives priority to the Routing Settings and may decline to process the request. The User understands and accepts that, where the Company has tried to provide an alternative that matches its settings and no suitable alternative exists, the Model it is using may become unavailable or its requests may fail. The Company is not liable for any resulting loss to the User, except where the loss is caused by the Company's intent or gross negligence.
-
The handling of Inference Data sent between an Upstream Provider's change of conditions and the time the Company learns of it and reflects it in the information shown on the Service and in the destinations of requests is governed by paragraphs 6 and 7.
-
The Company may set limits per Account on the number of requests, tokens or other usage.
Article 7 (Fees)
-
Fees for the Service are calculated from the unit price the Company shows for each Model on the pricing page or dashboard (per input and output token, per generation or other unit) and are deducted from the User's Balance.
-
Unit prices are shown in Japanese yen and exclude consumption tax. Consumption tax is added when the User deposits funds into its Balance.
-
Unit prices do not form part of these Terms. The Company may change them at any time, including when an Upstream Provider changes its prices. Each request is charged at the unit price shown at the time it is processed.
-
The Service cannot be used beyond the Balance, and the Company may stop processing requests once the Balance runs short. If a request in progress takes the Balance below zero, the User pays the shortfall with its next deposit.
Article 8 (Payment)
- The User deposits funds into its Balance, in an amount no lower than the minimum deposit shown on the pricing page (https://fastmetal.ai/pricing), by one of the methods below. The Service is prepaid only; there is no postpaid month-end invoicing.
(1) Credit card, processed through a third-party payment processor the Company designates.
(2) Bank transfer. The Company issues a qualified invoice when the deposit is requested and gives the User a transfer account dedicated to it. The invoice is payable within the period shown on the pricing page or the qualified invoice, and the Balance is updated automatically once the payment is confirmed. The User bears the transfer fee.
-
The Company issues a qualified invoice under the Consumption Tax Act for every deposit.
-
Where a payment processor is used, the User also complies with that processor's terms.
-
Through a feature of the Service, the User may set its Account so that, when the Balance falls below an amount the User sets, an amount the User sets is deposited automatically ("Automatic Top-Up"). The following apply to Automatic Top-Up.
(1) By turning on Automatic Top-Up, the User authorises the Company to charge its registered credit card or other means of payment repeatedly, under the conditions the User has set, until the User turns Automatic Top-Up off.
(2) The User may turn Automatic Top-Up off, or change its conditions, at any time from the Service's settings. A change applies to Automatic Top-Ups from that time on and does not affect deposits already made.
(3) A deposit made by Automatic Top-Up is treated as a deposit under paragraph 1, and the Company issues a qualified invoice for each one. Refunds are governed by Article 10.
(4) Charges made by Automatic Top-Up are borne by the User under Article 5.2, even where usage increases because API Credentials are misused or for any other reason. The User manages its Automatic Top-Up conditions and its usage on its own responsibility.
(5) Where a payment fails, the Company may stop Automatic Top-Up, or stop processing requests once the Balance runs short. The Company is not liable for any loss the User suffers because an Automatic Top-Up was not made or was delayed.
(6) The Company may set a maximum amount for Automatic Top-Up, or stop Automatic Top-Up, to prevent misuse or where it otherwise judges this necessary.
Article 9 (Nature of the Balance)
-
The Balance may be used only to pay fees for the Service. The Balance does not expire.
-
The Balance bears no interest. The Balance cannot be withdrawn, except as provided in Article 10.
-
The Balance cannot be moved to another Account, transferred to a third party or pledged as security.
-
Where an Account holds both a Balance and Promotional Credits, the Company may decide the order in which they are applied.
Article 10 (Refunds)
- Because of the nature of the Service, a deposited Balance is not refunded. It is refunded only in the following cases, and only to the extent permitted by the Payment Services Act and other laws.
(1) The Company discontinues the whole Service under Article 18.3.
(2) The User withdraws under Article 26.4 because it does not agree to an adverse change.
(3) The User was charged too much through a duplicate payment or another error by the Company.
(4) The law requires a refund.
-
A refund under the preceding paragraph is made to the original means of payment in principle. For a deposit made by bank transfer, the refund is made less the transfer fee.
-
If the User makes a chargeback or reverses a card payment, the Company may deduct the corresponding amount from the Balance and suspend the Account.
Article 11 (Promotional Credits and Free Models)
-
Promotional Credits have no cash value and cannot be refunded, cashed out or transferred. They are valid for the period the Company sets when granting them. The Company may change the conditions of Promotional Credits or stop granting them, but not so as to reduce retroactively the value of Promotional Credits already granted and still valid.
-
The Company may offer Models priced at ¥0 ("Free Models"). The Upstream Provider of a Free Model may use Input to train models. The User uses Free Models accepting this, and does not send a Free Model any information that should not be used for training.
-
The Company may change or end the Free Models, their usage limits and their content without notice.
Article 12 (Compliance with Model Terms)
-
When the User uses a Model, it reviews the Model Terms that apply to that Model on its own responsibility and complies with them. The Company will try to link to Model Terms on the Service, but does not warrant that the links are accurate or current.
-
Model Providers and Upstream Providers may change their Model Terms. If the User uses a Model after its Model Terms change, it is deemed to have agreed to the changed Model Terms.
-
Where the User builds the Service into its own product or service and offers it to its customers, employees or others ("End Users"), it ensures that End Users comply with these Terms and the Model Terms, and it is fully responsible to the Company for the acts of its End Users.
-
Some Model Providers do not permit use of their Models by persons located in certain countries or regions or belonging to certain organisations. The User must not evade those restrictions by VPN, proxy or any other means.
-
The Company may suspend or restrict use of a Model or of the Service without prior notice where it judges that the User or an End User has breached, or may breach, Model Terms, or where a Model Provider or Upstream Provider asks it to.
-
The User promptly provides any information the Company reasonably requests to confirm compliance with Model Terms.
Article 13 (Input and Output)
-
Rights in Input remain with the User or the rightful owner. Rights in Output are governed by the Model Terms of the Model concerned.
-
The User grants the Company a free, non-exclusive licence to send Inference Data to Upstream Providers and otherwise process it to the extent needed to provide, maintain and protect the Service.
-
The User represents and warrants that it holds all rights needed in its Input, and that its Input does not infringe any third party's intellectual property, privacy, publicity or other rights, or breach any law.
-
The Company does not use Inference Data to train its own models. Information the Service shows about whether an Upstream Provider trains on or retains data shows the Upstream Provider's own statements as described in Article 6.6, and the Company does not warrant that it is accurate.
-
By the nature of generative AI, Output may be inaccurate, incomplete or inappropriate, and may be the same as or similar to Output returned to other users. The User verifies Output on its own responsibility before using it.
-
The Company may refuse to process, or delete, Input or Output without prior notice where it judges that the content breaches, or may breach, these Terms or the law. The Company may screen Chat Data under Article 14-2 by automated means to detect material depicting the sexual exploitation of children and malware.
-
Complaints about content that infringes third-party rights are accepted at the contact point described in Article 27.2.
Article 13-2 (Unrestricted Models)
-
The Service may offer text, image and other Models to which safety filters, content restrictions or other limits on Output do not apply, or apply only in relaxed form ("Unrestricted Models"). Unrestricted Models may generate Output containing content that other Models would not generate.
-
The Company offers Unrestricted Models for security research (including research by white-hat hackers), academic research, creative work and other lawful purposes, and for private use within the law. The User must use Unrestricted Models in good faith, only for those purposes and only within the laws of Japan and the laws that apply to the User.
-
The Company provides every Model, including Unrestricted Models, as a tool for lawful purposes. The User alone decides, at its own discretion and responsibility, the purposes for which it uses a Model, the Input it sends, the Output it has a Model generate, and how it uses, stores, publishes or distributes that Output, and the Company takes no part in those decisions. The Company has no duty to monitor or review the content of Output.
-
The User must confirm for itself, and ensure, that its use of the Service and its generation, use, storage, publication and distribution of Output comply with all laws of Japan and of the country or region where the User is located or resides. Output that is lawful to generate and keep privately may still be unlawful to distribute, display publicly or possess for sale (obscene images, for example), and the User must not distribute, publicly display or possess for sale any Output in breach of the law.
-
The User bears sole and full responsibility for the content of its Input and Output and for their use. The Company is not liable for any loss suffered by the User or any third party from the User's use of Output or arising from Output. Where a third party makes a claim against the Company in this connection, the User compensates the Company for its loss under Article 24.
-
Unrestricted Models may be technically able to generate material relating to the sexual exploitation of children, sexual images of a real person made without that person's consent, other content that infringes the rights of a third party, or content that breaches the law, and the Company does not undertake to prevent such generation by technical means. Generating such content is prohibited by Article 15, and the fact that a Model can generate it does not mean that the Company permits or takes part in its generation. Where the User has a Model generate such content or uses it, the User alone bears all responsibility for it (including civil, criminal and administrative responsibility), and the Company bears none. Where a third party or a public authority makes a claim against the Company, opens an investigation or takes any other measure in this connection, the User compensates the Company under Article 24 for its loss (including reasonable lawyers' fees).
-
Where the Company learns, or reasonably judges it likely, that the User is using Unrestricted Models beyond the purposes in paragraph 2 or against the intent of these Terms, or is distributing or publicly displaying Output in breach of the law, the Company may immediately, without giving reasons, prior notice or demand, suspend the User's Account or delete its registration under Article 16. In that case, the Company may report the matter to investigating authorities or other public bodies, provide them with Account Data and Inference Data to the extent needed, cooperate with any third party whose rights have been infringed, and take any other measure it considers appropriate, and the User consents to all of this in advance.
Article 14 (Handling of Inference Data and Account Data)
-
The data the Company handles in the Service falls into two categories: Inference Data and Account Data. Routing Settings, and the information shown about Upstream Providers' locations, retention and training, concern Inference Data only and do not apply to Account Data.
-
Inference Data is handled differently for connections from the API and other programs ("API Use") and for the in-browser chat. The following items apply to Inference Data in API Use. Inference Data in the chat is stored on the Company's servers as set out in Article 14-2, and the following items do not apply to it.
(1) The Company handles Inference Data only to relay it to and from the Upstream Provider it is sent to, and does not store, log or view its content. Inference Data is not kept on the Company's systems once processing is complete.
(2) The only record the Company keeps of API Use is the usage history described in paragraph 6. The usage history does not include the content of Inference Data.
(3) Items (1) and (2) do not apply where the law, or an order of a court or administrative authority, requires the Company to capture or keep Inference Data.
-
The handling of Inference Data by an Upstream Provider (including retention and training) is governed by that Upstream Provider's Model Terms. The User chooses, on its own responsibility, the Routing Settings and Models suited to the nature of its Inference Data.
-
Where the User selects an Upstream Provider or Model (including a Free Model) that the Service shows as retaining Inference Data or using it to train models, or uses the Service without excluding such Upstream Providers and Models through its Routing Settings, the User expressly agrees to all of the following in respect of that Inference Data.
(1) All Input and Output, even where it contains the User's own personal information, private information or other sensitive information, will be provided to that Upstream Provider, retained by it, and used by it to train models and for the other purposes set out in its Model Terms.
(2) Where that Upstream Provider is located outside Japan, the information in item (1) will be provided to a third party in a foreign country. The Company shows on the Service the name of the country or region where the Upstream Provider is located, information on that country's or region's system for protecting personal information, and information on the measures the Upstream Provider takes to protect personal information, and the User gives its consent having received that information.
(3) The retention, training and use in items (1) and (2) take place under that Upstream Provider's control, and the Company cannot make it stop, reverse that use or delete the information retained.
(4) The consent in this paragraph includes the data subject's consent under Article 27, paragraph 1 and Article 28, paragraph 1 of the Act on the Protection of Personal Information.
-
The consent in the preceding paragraph is effective only for information about the User itself and, where the User is a corporation or other organisation, does not extend to information about its officers, employees or End Users. Where the User sends Input that contains the personal information of a third party (including the User's officers, employees and End Users), it first obtains that person's consent to the provision, retention, training and provision to a third party in a foreign country described in the preceding paragraph, and takes every other step that the Act on the Protection of Personal Information and other laws require, on its own responsibility. The Company handles Inference Data on the basis that the User has taken those steps, and the User is responsible under Article 24 for any loss caused by its failure to do so.
-
The Company handles Account Data under its privacy policy. To provide the Service, calculate fees and prevent misuse, the Company records and keeps usage history as Account Data: the Model and Upstream Provider used, token counts, times, charges and similar data, excluding the content of Inference Data.
-
The Company decides, and may change, the location of the servers that store Account Data, the method of storage and the contractors it uses. The Company does not promise to store Account Data in any particular country or region.
-
Where the User inputs special-care-required personal information (要配慮個人情報) or other information needing particular care, it judges for itself whether this is necessary and lawful and bears responsibility for the result.
Article 14-2 (Chat Data)
-
Where the User uses the in-browser chat, the conversations, system prompts, Input, Output, uploaded files, generated images and videos and other data sent or received through it ("Chat Data") are stored on the Company's servers. Article 6 and Article 14.4 apply to the Upstream Providers to which Chat Data is sent.
-
The Company decides, and may change, the location of the servers that store Chat Data, the method of storage and the contractors it uses. The Company does not promise to store Chat Data in any particular country or region, or to store it indefinitely.
-
The User may choose any of the following for its stored Chat Data.
(1) Delete Chat Data itself, conversation by conversation, through a feature of the Service. Deleted Chat Data is removed from the Company's systems immediately and cannot be restored. Copies remaining in backups are normally removed within 7 days.
(2) Leave Chat Data stored without deleting it. Chat Data is then kept until the User deletes it, except as provided in paragraphs 5 to 7.
(3) Turn on the encryption feature the Company provides, conversation by conversation. Chat Data is then encrypted in the User's browser with a passphrase the User sets before it is stored. The Company does not keep the passphrase or the encryption key and cannot reissue them, so if the User forgets the passphrase, that Chat Data can no longer be decrypted. The Company is not liable for any loss this causes.
- The encryption in item (3) of the preceding paragraph has the following limits. The User uses the encryption feature with an understanding of them.
(1) Encryption protects stored Chat Data. To be processed by a Model, each Input and Output passes unencrypted through the Company's servers to and from the Upstream Provider, and Article 14.3 and 14.4 apply to the Upstream Provider's handling of it.
(2) Conversation titles, times, the Models used, token counts, charges and other accompanying information are not encrypted.
(3) An encrypted conversation cannot hold attached files or stored videos.
-
The Company may review the content of unencrypted Chat Data to the extent needed to operate the Service, respond to incidents, investigate misuse or breaches of these Terms, or comply with the law. Where it receives a request based on the law, or in the case described in Article 13-2.7, the Company may provide unencrypted Chat Data, and the information described in item (2) of the preceding paragraph for encrypted conversations, to investigating authorities or other public bodies, and the User consents to this in advance. The Company cannot decrypt stored encrypted Chat Data for anyone, including public bodies. Where it receives an order based on the law, however, the Company may capture and provide Input and Output sent or received afterwards in the course of processing, even in a conversation with encryption turned on.
-
The Company may set and change limits on the volume of Chat Data the User may store and other limits. The Company may restrict the storage of Chat Data that exceeds those limits, or delete it after notifying the User. The Company may set fees for storing Chat Data.
-
Where the User has not logged in for six months or more since its last login, the Company may delete that User's Chat Data and other data stored on the Service. Deletion under this paragraph does not extend to the Balance or to the usage history described in Article 14.6.
-
When the service contract ends through withdrawal or deletion of registration, the Company may delete the User's Chat Data and other data stored on the Service. The Company may keep, for as long as needed, information it must keep under the law (including transaction records and information about qualified invoices) and information needed to resolve disputes, investigate misuse or respond to public bodies.
-
The User keeps its own copies of any Chat Data it needs. The Company is not liable for any loss the User suffers from the deletion, loss or impossibility of decrypting Chat Data under this Article.
Article 15 (Prohibited Conduct)
In using the Service, the User must not do any of the following.
(1) Breach any law, public order or morals, or Model Terms.
(2) Commit, or engage in conduct connected with, a criminal act.
(3) Infringe the intellectual property, privacy, reputation or other rights or interests of the Company, an Upstream Provider, a Model Provider, another user or any other third party.
(4) Send, or cause a Model to generate, material depicting the sexual exploitation of children, malware or other harmful programs.
(5) Register with false information, impersonate another person, or create multiple Accounts to evade usage limits.
(6) Without the Company's prior written consent (including a partner agreement), resell or provide access to the Service or API Credentials to a third party, or build a gateway service that competes with the Service. Building the Service into the User's own product or service under Article 12.3 is permitted.
(7) Reverse-engineer, decompile or disassemble the Service, or collect information from the Service by scraping or other automated means.
(8) Place excessive load on the Service's servers or network, interfere with the operation of the Service, or evade its security measures.
(9) Deposit funds into the Balance from the proceeds of crime or other illicit funds.
(10) Attempt any of the above, or have or help a third party do it.
(11) Any other conduct the Company reasonably judges inappropriate.
Article 16 (Suspension and Deletion of Registration)
- The Company may, without prior notice or demand, suspend all or part of a User's use of the Service or delete its registration if any of the following applies.
(1) The User breaches any provision of these Terms.
(2) The registration information is found to contain a falsehood.
(3) The User stops paying, makes a chargeback, or commits any other payment fraud or default.
(4) An event described in Article 12.5 occurs.
(5) The User has not used the Service for one year or more since its last use and holds no Balance.
(6) The Company otherwise reasonably judges the User's use of the Service inappropriate.
-
Where the Company deletes a registration under items (1) to (4) of the preceding paragraph, it does not refund the unused Balance.
-
The Company is not liable for any loss the User suffers from a measure taken under this Article, except where caused by the Company's intent or gross negligence.
Article 17 (Withdrawal)
-
The User may withdraw at any time by notifying the Company by the method it specifies.
-
Any Balance remaining at withdrawal lapses and is not refunded, except as provided in Article 10.
-
Fees and other obligations that arose before withdrawal survive it.
Article 18 (Change, Interruption and Discontinuation of the Service)
-
The Company may change the content of the Service, or add or remove features, without prior notice to Users.
-
The Company may interrupt all or part of the Service without prior notice to Users in any of the following cases.
(1) Maintenance, inspection or updating of the Service's systems.
(2) Suspension or change of a service provided by an Upstream Provider, Model Provider, telecommunications carrier, payment processor or other third party.
(3) Earthquake, fire, power failure, communications failure, epidemic, war, terrorism, the enactment, amendment or repeal of laws, or any other force majeure that makes the Service difficult to provide.
(4) Any other case in which the Company judges an interruption necessary.
- The Company may discontinue the whole Service by notifying Users no later than 60 days before discontinuation. In that case, on the User's request, the Company refunds the Balance unused at discontinuation. Where the Payment Services Act applies, the Company makes refunds by the procedure that Act prescribes.
Article 19 (Intellectual Property)
All intellectual property rights in the Service's software, interfaces, design, text, documentation, trademarks and other elements belong to the Company or to third parties that license them to the Company. Permission to use the Service under these Terms does not transfer or license those rights except as these Terms expressly state.
Article 20 (Feedback)
Where the User gives the Company opinions, requests, suggestions for improvement or other feedback about the Service, the Company may use it free of charge and without restriction.
Article 21 (Confidentiality)
- The Company and the User must not disclose to a third party, without the other's prior written consent, any information the other discloses in connection with the Service and expressly marks as confidential ("Confidential Information"), and must not use it for any purpose other than the Service. The following is not Confidential Information.
(1) Information that was public when disclosed, or becomes public afterwards through no fault of the recipient.
(2) Information the recipient already held when it was disclosed.
(3) Information obtained from a third party with proper authority and without a duty of confidentiality.
(4) Information developed independently without using the Confidential Information.
- Notwithstanding the preceding paragraph, the Company and the User may disclose Confidential Information to the extent required by law or by an order of a court or administrative authority.
Article 22 (Disclaimer of Warranties)
-
The Company provides the Service as is. It gives no warranty, express or implied, that the Service or Output is free of defects in fact or in law, including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose or security, errors and bugs, and infringement of rights. Where the service contract is a consumer contract, the Company bears the liability for nonconformity provided by the Civil Code, and damages are limited as set out in Article 23.2.
-
The Company does not warrant that the Service will be uninterrupted, that any particular Model or Upstream Provider will remain available, or that a Model's performance, response speed or quality of Output will be maintained.
-
Where the User uses Output for medical, legal, financial, employment or safety-related purposes, or for any other purpose that could seriously affect a person's life, body, property or rights, it puts human review and other appropriate safeguards in place on its own responsibility.
-
The Company makes no representation or warranty about the data handling, retention, training, processing location, security or intellectual property practices of Upstream Providers and Model Providers. Information the Service shows about these matters only reproduces the Upstream Provider's own statements, as described in Article 6.6.
Article 23 (Limitation of Liability)
-
The Company is not liable for any loss the User suffers in connection with the Service, except where caused by the Company's intent or gross negligence. This paragraph does not apply where the contract between the Company and the User for the Service is a consumer contract under the Consumer Contract Act.
-
In the case described in the proviso to the preceding paragraph, and in any other case where the Company is liable for damages, where the loss is caused by the Company's slight negligence only, the Company's liability is limited to direct and ordinary loss the User actually suffers (excluding lost profits, loss of data, business interruption and other loss arising from special circumstances), up to the lower of the total fees deducted from the User's Balance in the 12 months before the event giving rise to the loss and ¥1,000,000 (or ¥10,000, where that lower amount is less than ¥10,000).
-
Nothing in this Article exempts or limits the Company's liability for loss caused by its intent or gross negligence.
-
The Company is not liable for loss the User suffers from the acts of an Upstream Provider, Model Provider, payment processor or other third party (including an Upstream Provider handling Inference Data contrary to its statements), or from the suspension, change or end of its service, except where caused by the Company's intent or gross negligence.
-
Where the service contract is a consumer contract under the Consumer Contract Act, the provisions of these Terms that exempt the Company from liability (including Article 6.7 and 6.9, Article 8.4(5), Article 13-2.5 and 13-2.6, Article 14-2.3(3) and 14-2.9, Article 16.3, Article 22, Article 23.4 and Article 25.3) do not apply so as to exempt the Company from all liability, and the Company is liable, to the extent set out in paragraph 2, for default or tort caused by its slight negligence (negligence other than intent or gross negligence).
Article 24 (User Responsibility)
-
The User is fully responsible for its use of the Service and for its Input.
-
Where the User breaches these Terms, or causes the Company loss in connection with its use of the Service, the User compensates the Company for that loss (including reasonable lawyers' fees).
-
Where a dispute with a third party arises in connection with the User's use of the Service, its use of Input or Output, or the acts of its End Users, the User resolves it at its own cost and responsibility, and compensates the Company under the preceding paragraph for any loss the Company suffers from it.
Article 25 (Exclusion of Anti-Social Forces)
- The User represents that it is not now, and covenants that it will not in future become, an organised crime group, a member of one, a person who ceased to be a member less than five years ago, an associate member, a company related to an organised crime group, a corporate racketeer (総会屋), a person engaging in criminal activity under the guise of a social or political movement, a special intelligence organised crime group, or any person equivalent to any of these (together, "Anti-Social Forces"). It further represents and covenants that none of the following applies to it.
(1) It has a relationship in which Anti-Social Forces control, or are substantially involved in, its management.
(2) It has a relationship in which it makes improper use of Anti-Social Forces to obtain an unjust benefit for itself or a third party, or to harm a third party.
(3) It has a relationship in which it provides funds or other benefits to, or is otherwise involved with, Anti-Social Forces.
-
The User covenants that it will not, itself or through a third party, make violent demands, make unjust demands beyond legal liability, use threatening language or violence, damage the Company's credit or obstruct its business by spreading rumours or by deception, or do anything equivalent to these.
-
If the User breaches either of the preceding two paragraphs, the Company may delete its registration immediately without any demand. In that case, the Company does not refund the unused Balance and is not liable for any loss the User suffers.
Article 26 (Changes to These Terms)
-
The Company may change these Terms at any time when it judges a change necessary. Reasons for a change include, without limitation, the enactment, amendment or repeal of laws; changes to the content, features, pricing structure or delivery of the Service; changes to the conditions of Upstream Providers or Model Providers; changes to the Company's organisation or business; and any other need arising in the operation of the Company's business.
-
Under Article 548-4 of the Civil Code, a change under the preceding paragraph takes effect without the individual consent of Users in either of the following cases.
(1) The change conforms to the general interest of Users.
(2) The change does not run counter to the purpose of the service contract and is reasonable in light of the need for it, the appropriateness of the changed terms, the existence and content of this Article, the content of the change and the other circumstances of the change.
-
When it changes these Terms, the Company sets an effective date and makes the changed Terms and the effective date known, by posting them on the Service and sending them to the registered email address, no later than 30 days before the effective date. A change that conforms to the general interest of Users, or that is needed to comply with the enactment, amendment or repeal of laws, may take effect on the effective date the Company sets, with a shorter notice period.
-
A User that does not agree to the changed Terms may withdraw under Article 17 by the day before the effective date. Where a User withdraws because it does not agree to an adverse change, the Company, on the User's request, refunds the Balance unused at withdrawal under Article 10.1(2).
-
If the User uses the Service on or after the effective date, it is deemed to have agreed to the changed Terms.
-
A change to unit prices under Article 7.3, the addition, change or end of Models and Upstream Providers under Article 6.3, and updates to the attributes shown under Article 6.4 are not changes to these Terms.
Article 27 (Notices and Communications)
-
The Company gives notices to Users by posting them on the Service, by sending them to the registered email address, or by another method the Company considers appropriate. A notice by email is deemed to reach the User when the Company sends it.
-
Users send notices and enquiries to the Company through the enquiry contact point the Company designates on the Service, by the method the Company specifies.
-
The User consents to receiving notices from the Company electronically and agrees that such notices meet any requirement for notice in writing.
Article 28 (Assignment)
-
The User may not, without the Company's prior written consent, transfer, pass on or pledge its position under these Terms or any right or obligation under them to a third party.
-
Where the Company passes the business of the Service to a third party by business transfer, company split or otherwise, it may pass to that successor its position under these Terms, its rights and obligations under them, and the registration information and other information about Users. The User consents to this in advance by this paragraph.
Article 29 (Severability)
If any provision of these Terms, or any part of one, is held void or unenforceable under the Consumer Contract Act or any other law, the remaining provisions, and the remainder of the provision concerned, continue in full force and effect.
Article 30 (Governing Law and Jurisdiction)
-
These Terms and the service contract are governed by and construed in accordance with the laws of Japan.
-
The Tokyo District Court has exclusive jurisdiction as the court of first instance over every dispute between the Company and a User that arises out of or relates to these Terms or the Service.
Article 31 (Language)
These Terms are made in Japanese. This English version and any other translation are provided for reference. Where a translation differs from the Japanese version, the Japanese version prevails.
